Bylaws of the Civic Association Kockáči

I. General Provisions

  1. Name of the Civic Association: Kockáči (hereinafter referred to as the „Association“)

  2. Registered Office of the Association: Rozkvet 2060/127, 01701 Považská Bystrica

  3. The Association is an independent legal entity that can acquire rights and obligations in its own name. It is established in accordance with the provisions of Act No. 83/1990 Coll. on the Association of Citizens as amended.

  4. The Association is established for an indefinite period.


II. Objectives

  1. The main mission and goal of the Association is to provide accessible tutoring for children and youth.

  2. The objectives and activities of the Association are:

    • Supporting the versatile and comprehensive education of children and youth.
    • Bringing together young people who are interested in education or experience.
    • Cooperation with partners.
    • Creating educational content for children and youth.
    • Creating economic conditions for the development of activities and achieving its goals.
    • Organizing and facilitating volunteer activities.
    • Providing social assistance.

III. Membership

1. Regular Member:

  • Membership in the Association is voluntary. A regular member can be a natural person or a legal entity if they agree with the bylaws of the Association.
  • The applicant for membership submits an application, published on the Association’s website, for regular membership to the Director. The Board of Directors decides on granting regular membership upon the proposal of the Director of the Association.

2. Honorary Member:

  • Honorary membership may be granted to a natural or legal person who has significantly contributed to fulfilling and achieving the goals of the Association or supported the Association.
  • The General Assembly decides on granting honorary membership upon the proposal of any member of the Association.

IV. Rights and Obligations of Members

1. Rights and Obligations of a Regular Member

A regular member has the right to:

  • Participate in the activities of the Association.
  • Elect members to the Board of Directors and be elected to the bodies of the Association.
  • Approach the bodies of the Association with suggestions and complaints.
  • Be informed about the activities of the Association.
  • Be informed about the decisions of the bodies of the Association.
  • Withdraw from the Association at any time based on a written statement delivered to the Director of the Association.
  • Contribute financially and non-financially in the interest of maintaining the activities of the Association.

A regular member has the obligation to:

  • Adhere to the bylaws of the Association.
  • Fulfill the resolutions of the bodies of the Association.
  • Actively participate in the activities of the Association.
  • Protect, enhance, and care for the property of the Association.
  • Not violate the rights of other members of the Association.
  • Protect the good name and honor of the Association, adhering to its moral principles, goals, and interests.

2. Rights and Obligations of an Honorary Member

An honorary member has the right to:

  • Participate in the activities of the Association.
  • Contribute financially and non-financially in the interest of maintaining the activities of the Association.
  • Approach the bodies of the Association with suggestions and complaints.
  • Renounce honorary membership at any time based on a written statement delivered to the Director of the Association.

An honorary member has the obligation to:

  • Adhere to the bylaws of the Association.
  • Protect, enhance, and care for the property of the Association.
  • Not violate the rights of other members of the Association.
  • Protect the good name and honor of the Association, adhering to its moral principles, goals, and interests.

V. Suspension of Membership

  1. Suspension of membership refers to the period when a member of the Association cannot fully and regularly participate in meetings and activities of the Association for various reasons.

  2. Suspension of membership is voluntary and occurs based on a written notification from the member to the Director, stating the reason and duration of the suspension of membership in the Association.


VI. Termination of Membership

Membership in the Association terminates:

  • By expulsion for non-fulfillment of membership obligations.
  • By violation of the Association’s bylaws.
  • Based on the decision of the Director of the Association.
  • By dissolution of the Association.
  • By the death of the member.

VII. Bodies of the Association

The bodies of the Association are:

  • General Assembly (as the supreme body of the Association)
  • Board of Directors (as the executive and managing body of the Association)
  • Director of the Association (as the statutory body of the Association)
  • Controller (as the supervisory body of the Association)

VIII. General Assembly

  1. The General Assembly is convened by the Director of the Association usually once a year, but at least once every two years. If more than half of the members request the convening of the General Assembly, the Director is obliged to convene it within two months.

  2. The Director notifies members about the General Assembly electronically or via email communication at least two weeks in advance.

  3. A quorum is established if more than half of the regular members are present. Each regular member has one vote at the meeting. For a resolution to be valid, the approval of more than half of the present members is required.

  4. The General Assembly of members of the Association:

    • Discusses and approves the individual financial statements, extraordinary financial statements, and proposals for profit distribution, loss coverage, and the annual report.
    • Approves changes to the bylaws of the Association.
    • Approves the budget of the Association.
    • Elects members of the Board of Directors of the Association.
    • Elects the Controller of the Association.
    • Approves the allocation of rewards to members of the Association.
    • Decides on other matters it reserves.

IX. Board of Directors

  1. It is elected at the General Assembly by the members of the Association.

  2. The term of office is five years.

  3. Consists of 3 to 5 members; only a regular member of the Association can be a member of the Board of Directors.

  4. The Board of Directors:

    • Approves the internal regulations of the Association.
    • Maintains the list of members of the Association.
    • Informs members about the activities of the Association.
    • Elects the Director of the Association from among its members.
    • Decides on the use of the Association’s assets.
    • Submits proposals for changes to the registered data.
    • Proposes the allocation of rewards to members of the Association.
    • Decides on the dissolution of the Association, the appointment of a liquidator, and the method of settling the Association’s assets.

X. Director of the Association

  1. Is elected by the Board of Directors and remains its member while performing the function.

  2. The term of office is two years.

  3. The Director may resign from the function by informing the Board of Directors about the termination of his/her role. The Board must then elect the next Director from among its members no later than within two weeks.

  4. The Director of the Association:

    • Represents the Association externally and acts on its behalf.
    • Convenes the General Assembly of members of the Association, chairs the General Assembly, or authorizes a member of the Association to chair it.
    • Performs other activities arising from the role of the statutory body of the Association.
    • Is responsible to the Board of Directors for his/her activities.
    • Has the right to expel a member of the Association in case of non-fulfillment of obligations or violation of the bylaws.
    • Approves candidates for the Board of Directors (in case of non-approval, the candidate may appeal to the supervisory body of the Association).

XI. Supervisory Body of the Association

Controller:

  • Is the supervisory body of the Association.
  • The term of office is two years.
  • Is elected by the General Assembly of members of the Association.
  • Performs control of the Association’s management, alerting the Board of Directors and the Director to any deficiencies found.
  • Monitors compliance with the bylaws.
  • Is responsible to the Board of Directors for his/her activities.

XII. Assets and Management of the Association

  1. The assets and income of the Association may be used to achieve its goals and to ensure its own activities.

  2. In case of dissolution of the Association, the Board of Directors appoints a liquidator.

  3. The assets of the Association consist of:

    • Voluntary membership contributions.
    • Own assets and their yields.
    • Subsidies, grants, non-monetary and monetary donations, public collections, income from grants and subsidies.
    • Income from own economic activities, including supplementary entrepreneurial activities after taxation.
    • Loans and credits.
    • Tax assignments from individuals and legal entities.
    • Income from activities fulfilling the Association’s goals.
    • Income from inheritances.
    • Other income.
  4. The assets of the Association may be used for:

    • Ensuring the activities and goals of the Association.
    • Payments for work ordered by the Association performed by third parties.
    • Salaries of the Association’s employees.
    • Material and technical support of the Association.
    • Payment of rewards to members of the Association after allocation by the Board of Directors and approval by the General Assembly.
    • Other expenses.

XIII. Dissolution of the Association

  1. The Association is dissolved:

    • By decision of the Board of Directors upon unanimous vote on voluntary dissolution or merger with another civic association.
    • By a final decision of the Ministry of Interior of the Slovak Republic on the dissolution of the Association.
  2. Upon liquidation of the Association, the Association’s liabilities are first settled.


XIV. Final Provisions

  1. These bylaws were discussed and approved by the preparatory committee of the Association on August 4, 2022.

  2. These bylaws were prepared on August 1, 2022, and become effective upon the registration of the civic association by the Ministry of Interior of the Slovak Republic.
